Online Terms

THESE ONLINE PURCHASE TERMS & CONDITIONS (these “Online Terms“) are supplemental to and incorporated into Foothold America Inc.’s Master Service Agreement (“MSA“), which can be found at https://www.footholdamerica.com/master-service-agreement/.

By making any purchase through our website at onboarding.footholdamerica.com or any other Foothold America online platform, you agree to be bound by both these Online Terms and the MSA. In the event of any direct conflict between these Online Terms and the MSA, the MSA will control as specified in the MSA.

You must be at least 18 years of age to make online purchases. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the legal authority to bind that entity.

1. Introduction and Scope

These Online Purchase Terms & Conditions (“Online Terms”) are supplemental to and incorporated into Foothold America Inc.’s Master Service Agreement (“MSA”), which can be found at https://www.footholdamerica.com/master-service-agreement/. By making any purchase through our website at onboarding.footholdamerica.com or any other Foothold America online platform, you agree to be bound by both these Online Terms and the MSA. In the event of any direct conflict between these Online Terms and the MSA, the MSA will control as specified in the MSA. You must be at least 18 years of age to make online purchases. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the legal authority to bind that entity.

2. Online Services Available for Purchase

Through our online platform, you can purchase the following services:

2.1 Entity Setup Services

• US Business Entity Formation (LLC, Corporation, etc.)
• EIN/Tax ID Applications
• Registered Agent Services
• Operating Agreements and Corporate Bylaws

2.2 Virtual Office Services

• Professional Business Addresses
• Mail Receiving and Forwarding
• Phone Answering Services
• Meeting Room Access (where available)

2.3 Additional Services

• US Entity Management Services
• Bookkeeping Services
• US People Services
• Training and Executive Coaching

All services are subject to the detailed terms and service descriptions outlined in the MSA.

3. Online Ordering Process

Client agrees to comply with all applicable laws, regulations, and Foothold America’s policies related to the Services.

3.1 Order Placement
• Orders are placed by completing our online purchase process
• All orders are subject to our acceptance as specified in the MSA
• Order confirmation will be sent via email upon acceptance
• The contract is formed only when we send you the order confirmation email

3.2 Order Accuracy
You are responsible for:
• Providing accurate and complete information during the online ordering process
• Reviewing all information before submitting your order
• Notifying us immediately of any errors in your order confirmation

3.3 Product/Service Availability
• All services are subject to availability
• We reserve the right to discontinue any service at any time
• Prices and service descriptions may change without notice
• We are not liable for any errors in pricing or service descriptions on our website

4. Pricing and Payment Terms

4.1 Online Pricing
• All prices displayed are in US Dollars (USD)
• Prices shown are in addition to applicable state filing fees and taxes
• Promotional pricing may be limited-time offers or available only to new customers
• We reserve the right to change pricing with reasonable notice

4.2 Payment Processing
• Payment is required at the time of online purchase
• We accept major credit cards and other payment methods displayed during checkout
• We do not accept checks for any services (as specified in the MSA)
• All billing disputes must be reported within 30 days of the charge

4.3 Auto-Renewal Services
For services with ongoing billing cycles:
• Your payment method will be automatically charged according to the selected billing frequency
• You can cancel auto-renewal by providing notice according to the termination periods specified in the MSA
• Cancellation notices must be submitted through proper channels as outlined in the MSA

4.4 Currency and Bank Fees
• All payments must be made in USD
• You are responsible for any bank fees, currency conversion fees, or international transaction fees charged by your bank

5. Refund and Cancellation Policy

5.1 General Refund Policy
• Refunds are subject to the specific terms outlined in the MSA for each service type
• State filing fees are non-refundable once documents have been submitted to government authorities
• Entity Setup services marked as “Refund for cancellation is not permitted” in the MSA are non-refundable

5.2 Service-Specific Cancellation Terms
Cancellation periods vary by service as specified in the MSA:
• Entity Setup: No cancellation after service begins
• Virtual Office Services: 60-day notice required before renewal (12-month initial term)
• HR Support/PEO+/PPS Services: 60-day notice required before renewal (12-month initial term)
• Bookkeeping Services: 60-day notice required before renewal (12-month initial term)
• EOR Services: 30-day notice required (90-day initial term)

5.3 Early Termination Fees
As specified in the MSA, early termination may result in fees calculated as 75% of the highest monthly invoice multiplied by the remaining months in the term.

6. Digital Delivery and Service Activation

6.1 Service Delivery
• Entity formation documents will be delivered electronically to your account or email
• Virtual office services will be activated within the timeframe specified during purchase
• Physical documents may be mailed where applicable

6.2 Account Access
• You may receive login credentials to access your client portal
• You are responsible for maintaining the confidentiality of your login information
• Notify us immediately of any suspected security breaches

6.3 Processing Timeframes
• Processing times depend on government authorities and service providers
• We are not responsible for delays caused by incomplete information or third-party processing delays
• Expedited services may be available for additional fees

7. Website Usage and Account Terms

7.1 Account Creation
• Some services may require creating an online account
• You must provide accurate and current information
• One account per person/entity
• You are responsible for all activities under your account

7.2 Prohibited Uses
You may not use our website or services for:
• Any illegal or fraudulent purposes
• Circumventing our security measures
• Interfering with the proper functioning of our website
• Any purpose that brings Foothold America into disrepute

7.3 Website Availability
• Our website is provided “as is” and on an “as available” basis
• We may modify, suspend, or discontinue the website at any time
• We are not liable for website downtime or technical issues

8. Intellectual Property

• Foothold America owns all website content, design, software, and processes

9. Compliance and Verification

9.1 Identity Verification
In compliance with federal regulations, we may require:
• Government-issued photo identification
• Proof of address and business information
• Additional documentation for certain services (CMRA Form 1583 for virtual office services)
• Services may be unavailable until required documentation is provided

9.2 Compliance Screening
• We reserve the right to perform background checks and compliance screening
• We may refuse service or terminate accounts if we suspect illegal activities
• Additional fees may apply for extensive compliance reviews

10. Limitation of Liability (Online Services)

10.1 Website Disclaimers

15.2 Order of Precedence
In the event of conflicts between these Online Terms and the MSA, the MSA will control unless specifically stated otherwise.

15.3 Complete Agreement
These Online terms, together with the MSA and any applicable Proposals or Service Descriptions, constitute the complete agreement for your online purchases.
